Terms of Service

Introduction

These Terms of Service ("Terms") are a legal agreement between you and Skillazo, Inc. ("PARRH," "we," "us," or "our"). By accessing or using PARRH (the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Who We Are

PARRH is operated by Skillazo, Inc., a company registered in the State of Delaware, United States.

2. Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable law
• Not have been previously banned or removed from the Service

By using PARRH, you represent and warrant that you meet all of the above eligibility requirements.

3. Account and Identity

3.1 Account Creation

PARRH uses automatic anonymous authentication. No email address, phone number, or password is required to create an account. Your account is created automatically when you first use the Service.

3.2 Identity Resets

Your public identity (username and avatar) resets every week. Your underlying account persists across resets, along with your karma score and account standing. Safety signals and moderation history are maintained across identity resets.

3.3 Account Security

You are responsible for:

• Maintaining the security of your device
• All activity that occurs under your account
• Notifying us immediately of any unauthorized use of your account

3.4 Prohibited Account Behavior

You agree not to:

• Attempt to evade enforcement actions through identity resets
• Create or maintain multiple accounts
• Share or transfer your account to another person

4. Messages and Ephemerality

4.1 Ephemeral Design

PARRH is designed around ephemeral communication. Messages are automatically deleted approximately 24 hours after they are sent. Match connections expire. We do not guarantee the delivery or retention of any message.

4.2 Data Retention

Notwithstanding the ephemeral design, we may retain certain data for the purposes of:

• Safety and moderation enforcement
• Legal compliance and obligations
• Dispute resolution
• Service operation and improvement

5. Your Content

5.1 Ownership

You retain ownership of the content you create and share through the Service ("Your Content").

5.2 License Grant

By submitting Your Content to the Service, you grant Skillazo, Inc. a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to:

• Host, store, cache, and backup Your Content
• Reproduce, modify, and create derivative works of Your Content
• Display and distribute Your Content
• Use Your Content for the purpose of operating, improving, and securing the Service
• Use Your Content for enforcement of these Terms and our Community Guidelines

This license continues until Your Content is deleted from the Service.

5.3 Content Representations

You represent and warrant that:

• You own or have the necessary rights to Your Content
• Your Content does not violate the rights of any third party
• Your Content complies with these Terms and our Community Guidelines

5.4 Content Removal

We may remove any content that violates these Terms or our Community Guidelines at our sole discretion.

6. Acceptable Use

You agree to use the Service only for lawful purposes. You agree not to:

• Violate our Community Guidelines
• Harass, threaten, or abuse other users
• Post illegal, harmful, or objectionable content
• Share or request personal contact information (phone numbers, social media handles, email addresses, etc.)
• Spam, scam, or phish other users
• Engage in commercial solicitation
• Impersonate any person or entity
• Infringe on the intellectual property rights of others
• Bypass or circumvent security measures
• Use bots, scrapers, or automated tools to access the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Interfere with or disrupt the Service or its infrastructure
• Violate any applicable local, state, national, or international law

7. Safety and Enforcement

7.1 Our Rights

We reserve the right to, at our sole discretion and without prior notice:

• Remove or restrict access to any content
• Warn, suspend, or terminate any account
• Limit access to features
• Investigate potential violations of these Terms
• Cooperate with law enforcement authorities when required or when we believe it is necessary to protect the safety of our users

7.2 Your Responsibility

You are solely responsible for your interactions with other users. PARRH is not responsible for the conduct of any user, whether on or off the Service.

7.3 Reporting

If you encounter content or behavior that violates these Terms or our Community Guidelines, please report it using the in-app reporting tools or by emailing privacy@parrh.com.

7A. Child Safety

7A.1 Prohibition of CSAE

PARRH maintains an absolute zero-tolerance policy against child sexual abuse and exploitation (CSAE) in any form. Users who engage in any CSAE-related activity will be immediately and permanently banned, and reported to the National Center for Missing & Exploited Children (NCMEC) and relevant law enforcement authorities.

7A.2 Age Requirement

PARRH is exclusively for users who are 18 years of age or older. We do not knowingly permit minors to use the Service. If we discover a user is under 18, their account will be immediately terminated.

7A.3 Reporting Obligations

Users must immediately report any suspected CSAE content or grooming behavior using PARRH's in-app reporting tools or by emailing safety@parrh.com.

8. Intellectual Property

8.1 Our IP

The Service, including its design, features, code, content, and branding, is owned by Skillazo, Inc. and is protected by copyright, trademark, and other intellectual property laws. "PARRH" is a trademark of Skillazo, Inc.

8.2 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us the right to use such feedback without any obligation of compensation to you.

9. Copyright and DMCA

9.1 Repeat Infringer Policy

We have adopted a policy of terminating, in appropriate circumstances, the accounts of users who are deemed to be repeat infringers of copyrighted works.

9.2 DMCA Notice

If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please send a notice to our DMCA Agent:

Your DMCA notice must include:

• A physical or electronic signature of the copyright owner or authorized agent
• Identification of the copyrighted work claimed to have been infringed
• Identification of the material that is claimed to be infringing and its location on the Service
• Your contact information (address, telephone number, and email address)
• A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law
• A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf

9.3 Counter-Notice

If you believe your content was wrongly removed due to a DMCA notice, you may file a counter-notice containing:

• Your physical or electronic signature
• Identification of the material that was removed and its location before removal
• A statement under penalty of perjury that you have a good faith belief the material was removed by mistake or misidentification
• Your name, address, and telephone number
• A statement that you consent to the jurisdiction of the federal district court for the judicial district in which your address is located, and that you will accept service of process from the person who provided the original DMCA notice

10. Subscriptions and Payments

10.1 Subscription Offerings

PARRH offers optional paid subscription plans ("Premium") that provide access to additional features and functionality.

10.2 Pricing

Prices may vary by region and are subject to change. See Section 10.6 for price change policies.

10.3 Billing

Subscriptions are billed through your app store (Apple App Store or Google Play Store) or our designated payment processor. By subscribing, you authorize recurring charges to your chosen payment method at the applicable subscription rate.

10.4 Cancellation

You may cancel your subscription at any time:

• iOS: Settings > Apple ID > Subscriptions
• Android: Google Play > Subscriptions
• In-app: Via the account settings within PARRH

Cancellation takes effect at the end of your current billing period. You will continue to have access to Premium features until that date.

10.5 Refunds

Refunds are handled per your app store's refund policy. We do not issue direct refunds except where required by applicable law.

10.6 Price Changes

Price changes will not affect your current billing period. Any changes to subscription pricing will be communicated to you in advance, and you will have the opportunity to cancel before the new price takes effect.

11. Third-Party Services

11.1 Integrations

The Service may contain links to or integrations with third-party websites, services, or content that are not owned or controlled by PARRH.

11.2 Disclaimer

We are not responsible for the content, policies, or practices of any third-party services. Your use of third-party services is at your own risk. We encourage you to review the terms and privacy policies of any third-party services you access through PARRH.

12. Disclaimers

12.1 "As Is" Basis

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

12.2 No Guarantees

We do not warrant or guarantee that:

• The Service will be uninterrupted, secure, or error-free
• The results obtained from the Service will be accurate or reliable
• Any defects in the Service will be corrected
• The Service will meet your specific expectations or requirements

12.3 User Interactions

PARRH IS NOT RESPONSIBLE FOR THE CONDUCT OF ANY USER, WHETHER ON OR OFF THE SERVICE. YOU USE THE SERVICE AND INTERACT WITH OTHER USERS AT YOUR OWN RISK.

13. Limitation of Liability

13.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKILLAZO, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, data, use, or goodwill
• Any damages resulting from unauthorized access to or alteration of your data
• Any damages arising from the conduct or content of any user

13.2 Liability Cap

Our total liability to you for any claims arising from or related to the Service shall not exceed the greater of: (a) the amount you paid to us in the 12 months preceding the claim, or (b) $100 USD.

13.3 Applicability

These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise), even if we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless Skillazo, Inc. and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use of the Service
• Your Content
• Your violation of these Terms
• Your violation of any rights of a third party
• Your violation of any applicable law

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.

15. Termination

15.1 By You

You may terminate your account at any time by:

• Ceasing to use the Service
• Deleting your account through the in-app settings
• Emailing support@parrh.com to request account deletion

15.2 By Us

We may suspend or terminate your access to the Service, with or without cause and with or without notice, including if:

• You violate these Terms or our Community Guidelines
• We are required to do so by law
• We discontinue the Service or any part thereof

15.3 Effect of Termination

Upon termination:

• Your rights to use the Service cease immediately
• We may delete your data and content
• Sections 13 through 19 of these Terms survive termination

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

17. Dispute Resolution and Arbitration

17.1 Informal Resolution First

Before filing any formal dispute, you agree to first contact us at privacy@parrh.com and attempt to resolve the dispute informally for at least 30 days.

17.2 Binding Arbitration

If the dispute is not resolved informally, it shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in English and the arbitrator's decision shall be final and binding.

17.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration.

17.4 Exceptions

Notwithstanding the above, either party may:

• Seek injunctive or other equitable relief in any court of competent jurisdiction
• Bring claims related to intellectual property disputes in court
• Bring claims in small claims court if the claim qualifies

17.5 Opt-Out

You may opt out of the arbitration agreement by sending written notice to privacy@parrh.com within 30 days of first using the Service. Your notice must include your name and a clear statement that you wish to opt out of the arbitration agreement.

17.6 Severability

If the class action waiver in Section 17.3 is found to be unenforceable, then the entire arbitration agreement in this Section 17 shall be void. If any other provision of this Section 17 is found to be unenforceable, the remaining provisions shall continue to apply.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy and Community Guidelines, constitute the entire agreement between you and Skillazo, Inc. regarding your use of the Service, and supersede all prior agreements and understandings.

18.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

18.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

18.5 Force Majeure

We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, power outages, or internet disruptions.

18.6 Notices

We may provide notices to you through the Service, by email, or by other reasonable means. You may provide notices to us by email at privacy@parrh.com or by mail to our address listed in Section 1.

18.7 Headings

The section headings in these Terms are for convenience only and have no legal or contractual effect.

19. Export Compliance

You agree to comply with all applicable export and import control laws and regulations. You represent that you are not located in any country that is subject to a U.S. Government embargo or sanctions, and that you are not listed on any U.S. Government list of prohibited or restricted parties.

20. U.S. Government Users

The Service is deemed to be "commercial computer software" and "commercial computer software documentation" as defined in FAR 12.212 and DFARS 227.7202. Any use, duplication, or disclosure by the U.S. Government is subject to the restrictions set forth in these Terms.

21. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you through the Service or by other reasonable means. Your continued use of the Service after such changes constitutes your acceptance of the updated Terms.
